Job Overview
We are seeking an experienced Advertising Counsel to join our Legal Division, providing legal guidance and support to the Disney Advertising Sales team. As a key member of our team, you will focus primarily on the addressable sales business for various Disney brands, including Disney+, Hulu, ABC, ESPN, FX, Nat Geo, and Freeform. Your expertise will be essential in drafting and negotiating agreements related to data collection and use, research and analysis, distribution of advertising inventory on non-Disney controlled platforms, advertising technology, straight addressable and data-driven direct services, automated advertising, insertion orders, master agreements with advertisers and agencies, integrated marketing, branded and custom content, influencer marketing, and social media platforms.
Key Responsibilities
- Design, draft, and negotiate contracts connecting with data collection and use, research and analysis, distribution of advertising inventory on non-Disney controlled platforms, advertising technology, straight addressable and data-driven direct services, automated advertising, insertion orders, master agreements with advertisers and agencies, integrated marketing, branded and custom content, influencer marketing, and social media platforms.
- Review creative materials to ensure compliance with advertising laws and policies, including compliance with FTC Rules, CARU Rules, internal company guidelines, and other advertising industry standards and practices.
- Provide other advertising and marketing legal advice and transactional support for various businesses of TWDC, including advising and collaborating with other legal stakeholders on related issues, such as sponsorships, contests and sweepstakes, user-generated content, content creation and promotion, and business development.
Essential Qualifications
To be successful in this role, you should have:
- A minimum of ten (10) years of experience in a law firm advising major corporate clients or corporate legal department, including negotiating, drafting, and reviewing contracts, and preferably working on issues related to digital marketing.
- Demonstrated knowledge of advertising law and policy, and experience working with advertising and marketing clients.
- Ability to identify and analyze complex issues and devise solutions and strategies.
- Ability to anticipate and understand the implications of agreements, contractual arrangements, and related decisions on a client, including identifying and assessing potential risks and impacts.
- Excellent written and verbal communication skills.
- Strong drafting, negotiating, and writing skills, as well as the ability to issue-spot and problem-solve in a efficient, business-friendly, and creative way.
- A strong work ethic and commitment to professionalism; excellent attention to detail.
- Strong interpersonal skills and ability to collaborate with all levels of colleagues, both internal and external.
- Ability to take "ownership" of tasks and think proactively.
- Ability to handle a high volume of work and work through projects with minimal supervision.
- Better organizational skills with the ability to multitask and prioritize responsibilities efficiently and effectively.
- Strong computer skills, including proficiency with Microsoft Word, Outlook, PowerPoint, and Excel.
Preferred Qualifications
While not required, the following qualifications are preferred:
- Fifteen (15) years of experience negotiating, drafting, and reviewing contracts for a law firm advising major corporate clients or corporate legal department, ideally working on issues related to digital marketing.
- Experience providing legal services related to regulatory aspects of digital and online content and advertising, including FTC Rules, CARU Rules, other advertising industry guidelines, privacy, behavioral tracking, targeting, security, and related matters.
- Experience providing legal services related to digital and mobile marketing, promotions, and related services and systems.
- Experience providing legal advice on advertising technology.
Education and Certification
To be considered for this role, you should have:
- A JD or equivalent from an accredited law school.
- Membership in the California State Bar in good standing or ability and eligibility to be Registered In-House Counsel.
