Description aVenture is a San Francisco, California (USA) based financial technology startup with a small global team (North and South America, Europe, Asia) looking to change forever investing by making venture capital investment funds available to everyone. aVenture is seeking a knowledgeable professional with experience in public/private fund registration and regulatory compliance to set up our venture capital funds and help us comply with legal requirements. An ideal candidate will have experience working as a legal advisor or in venture capital, private fund, fund manager, investment advisor, brokerage, law firm, or related field. We are looking for a professional to join us full-time (40 hours a week) or part-time, and this position is available at a fixed rate of compensation per month or hourly rate. All payments are made in U.S. Dollars (USD). This remote position can be performed from anywhere in the world (work from home). This position requires a regular work schedule and must have at least 4 hours of US Pacific Time (UTC -7) availability per weekday in your schedule. The salary and equity is commensurate with experience Desired skills: • Working knowledge of securities laws and angel, venture, mutual funds, closed-end funds, and/or private equity fund formation • Experience working in a startup environment • Sound understanding of the Securities Acts of 1933 and 1934 and the Investment Company Act of 1940 • Knowledge of SEC regulations and guidelines • Experience with mutual funds or other corporate financial services or a law firm environment with exposure to securities matters is a plus Job duties: • Assist with entity formation, drafting corporate organizational documents, and corporate records maintenance • Provide advice on the formation, structuring, and marketing/distribution of open-end and closed-end funds and special purpose vehicles across various jurisdictions • Prepare and draft various corporate documents for entity formation and maintenance of funds • Prepare and review subscription agreements and side letters • Prepare, negotiate, and manage a wide variety of contractual arrangements with service providers, such as fund administrators, custodians, auditors, and other relevant providers as required • Prepare and revise initial, annual, and amended registration statements, which include private placement memorandum and operating agreements, and other similar documents • Collaborate with legal and marketing staff, other internal departments, and external auditors on registration statements • Conduct due diligence, perform legal research and analysis, and other duties as assigned Qualifications required: • Law degree • 5+ years experience with U.S. securities compliance/law • Strong computer skills including Microsoft Word, Excel, PowerPoint, G Suite, Outlook • Excellent research, communication, and writing skills • Familiarity with common legal research databases, such as LexisNexis, Thomson Reuters tools • Strong attention to detail • Capable of handling multiple responsibilities • Ability to work well in a team-oriented environment What to expect • You’ll be working with an experienced, knowledgeable, and friendly team of people passionate about making venture capital accessible for everyone • Each employee on our team is expected to have a stable work schedule they establish for when they begin and end work each day and must have at least 4 hours of US Pacific Time business hours available Monday through Friday daily • A successful candidate will manage their time carefully, maintain time entries for their work, regularly update a development task board (such as Jira), and participate in daily brief check-in meetings, along with weekly planning meetings Salary $80,000 - $120,000 per year Apply Now Apply Now
