Job Summary
We're seeking an experienced and skilled Remote Corporate Paralegal to provide legal support with general corporate maintenance and complex transactions for our clients. As a Corporate Paralegal, you'll work closely with our team to maintain corporate records, prepare organizational documents, and coordinate closings, among other responsibilities. Key Responsibilities
- Corporate Client Maintenance: Maintain corporate records, stock and option administration, and ensure that our clients' corporate documents are up-to-date and compliant.
- Entity Formation and Maintenance: Assist in the formation, maintenance, and dissolution of corporate entities, and prepare related organizational documents.
- Transaction Support: Coordinate closings and prepare related agreements for transactions, including SAFE financings, preferred stock financings, and M&A transactions.
- Document Preparation: Prepare stock certificates, maintain capitalization tables and option records, and draft various agreements, certificates, and closing documents.
- Corporate Entity Searches: Perform corporate entity searches and setup and monitor corporate extranets.
- Legal Opinions and Filings: Prepare legal opinions, assemble opinion back-up, and draft and file corporate and securities filings, including Blue Sky filings.
- Due Diligence and Document Management: Organize corporate records, conduct due diligence reviews, and manage document preparation and data rooms.
- Administrative Tasks: Handle signature requests and similar organizational tasks, and perform other tasks as assigned or required.
Requirements and Qualifications
To succeed as a Remote Corporate Paralegal at Workwarp, you'll need:
- Bachelor's Degree: A Bachelor's degree in a relevant field, such as paralegal studies, business, or law.
- Experience: 2-5+ years of experience in startup and transactional practices, with a law firm or in-house experience preferred.
- Technical Skills: Proficiency in the Microsoft Office suite, with advanced knowledge of Excel preferred, and familiarity with Carta, Pulley, or similar equity tracking systems.
- Communication and Organizational Skills: Excellent oral and written communication skills, strong attention to detail, and the ability to manage multiple priorities and track extensive details.
- Teamwork and Confidentiality: Ability to establish and maintain good working relationships with personnel, and handle confidential information sensitively and discreetly.
Preferred Qualifications
- Law Firm Experience: Previous law firm experience is highly preferred, as it demonstrates your understanding of the legal industry and your ability to work in a fast-paced environment.
- Advanced Technical Skills: Advanced knowledge of Excel and familiarity with other software applications used in the legal industry.
- Transactional Experience: Experience with complex transactions, such as SAFE financings, preferred stock financings, and M&A transactions.
What We Offer
