Legal Director at Cimpress Cimpress is seeking a versatile, hard-working and driven Legal Director to join its [lean] central legal team. The Legal Director will play a key role in providing cross-functional legal support to Cimpress’ corporate accounting and SEC reporting, investor relations, sustainability, treasury, tax, HR, and communications teams and handling various other matters, including: • Public Company Compliance: Preparing, reviewing, and/or completing public company securities filings, including Forms 10-K, 10-Q, and 8-K, Section 16 filings, proxy statements, and earnings disclosures; actively participating in Disclosure Committee processes • Debt Financings and Compliance: Executing debt financing transactions such as credit agreement amendments and bond offerings, and related ongoing compliance • Equity Incentive Plan: Supporting long-term incentive (LTI) plan administration • Corporate Governance: Assisting Cimpress’ Board of Directors and its committees with drafting resolutions, minutes, and meeting materials • M&A and Strategic Transactions: Leading due diligence, negotiation and execution of M&A and other strategic transactions • Commercial Contracts: Drafting and negotiating commercial contracts, including vendor agreements, procurement agreements, and intellectual property licenses • Global Compliance Program: Administering Cimpress’ global compliance program, including managing the company’s confidential reporting helpline • External Counsel Management: Partnering with and managing outside counsel to address complex legal issues efficiently Your Qualifications • Legal Experience: Minimum of ~6 years of legal experience, including 4+ years at a nationally recognized law firm with a focus on transactional work • Public Company Experience: Recent experience working at a U.S. publicly traded company, including supporting SEC reporting and securities law compliance; Irish plc experience is a plus • Project Management: Excellent project management skills with the ability to multitask, prioritize and respond quickly • Analytical and Communication Skills: Exceptional analytical, negotiation, and communication skills with the ability to simplify complex legal and business issues for diverse audiences • Mindset and Adaptability: A growth mindset with a commitment to continuous improvement, a willingness to embrace change, and an interest in business challenges and opportunities • Professionalism: High degree of professionalism, integrity, and sound judgment in all aspects of work • Education: Juris Doctor (JD) degree from a top ABA-accredited law school • Bar Admission: Admission to the bar in any state required; Massachusetts bar admission is preferred We're Remote-First In 2020, Cimpress adopted a Remote-First operating model and culture, reflecting our commitment to providing team members with the freedom, autonomy, and trust to work from home. Compensation: US Target Hiring Range :$187,000.00 - $318,000.00 Per Year Cimpress/Vista is committed to transparent and competitive compensation. In alignment with our compensation philosophy, the target hiring range is based on total cash compensation across our multiple U.S. pay zones. The actual salary offered will depend on factors such as location, education, training, and experience.
